These Terms of Service ("Terms") govern the provision of professional technology services by Nova Source AI Technologies ("Nova Source", "we", "us"), a business registered in Hong Kong SAR, to its business clients ("Client", "you"). By engaging our services or submitting an inquiry, you agree to these Terms.
1. Scope of Services
Nova Source provides B2B IT infrastructure consultancy, workflow automation, REST API integration, and cloud microservice engineering. The specific scope, deliverables, timeline, and fees for each engagement are defined in a written statement of work, proposal, or invoice agreed between the parties.
2. Engagements & Milestones
Work is delivered against agreed project milestones or on a monthly retainer basis. Each milestone is considered accepted once the associated deliverable has been provided electronically and reviewed by the Client in accordance with the engagement agreement.
3. Fees & Invoicing
Services are billed on a business-to-business basis through direct invoicing. Fees, currency, and payment terms are stated on each invoice or proposal. Unless otherwise agreed in writing, invoices are payable within the stated term. Late payments may result in suspension of ongoing work.
4. Client Responsibilities
The Client is responsible for providing timely access, credentials, and information reasonably required to deliver the services, and for ensuring it holds the necessary rights to any systems, data, or third-party accounts involved in the engagement.
5. Intellectual Property
Upon full payment for a milestone or engagement, custom deliverables produced specifically for the Client are assigned to the Client, excluding any pre-existing tools, libraries, or frameworks owned by Nova Source or third parties, which are provided under their respective licenses.
6. Confidentiality
Each party agrees to keep confidential any non-public information disclosed during an engagement and to use it solely for the purpose of delivering or receiving the services.
7. Warranties & Liability
Services are provided on a professional-effort basis. To the maximum extent permitted by law, Nova Source's total liability arising from an engagement is limited to the fees paid for the specific milestone giving rise to the claim. We are not liable for indirect or consequential losses.
8. Governing Law
These Terms are governed by the laws of the Hong Kong Special Administrative Region, and any disputes are subject to the exclusive jurisdiction of the Hong Kong courts.
